Full EULA

This End User License Agreement (the “EULA”) is a legal agreement between you (as an individual or legal entity) and Spendle (the “Application Provider”, “Licensor”, or “we”). This EULA governs your use of the software application “Spendle” (the “Licensed Application”).

The Licensed Application is available via https://www.spendle.com, via Apple’s software distribution platform (the “App Store”) and via Google’s software distribution platform (the “Google Play Store”). The App Store and Google Play Store are collectively referred to as the “Services”.

By downloading, installing, or using the Licensed Application, you confirm that you accept this EULA and agree to be bound by it. If you do not agree, you must not install or use the Licensed Application.

This EULA applies only to the Licensed Application provided by the Application Provider, regardless of whether other software, services, or platforms are referenced or described within it.

The Licensed Application is licensed to you, not sold. All rights not expressly granted to you remain with the Application Provider. The App Store terms and Google Play service terms are referred to in this EULA as the “Usage Rules”.

a. Scope of the license

The Application Provider grants you a non-exclusive, non-transferable, revocable license to use the Licensed Application on Devices that you own or control, in accordance with the Usage Rules. “Devices” means devices running iOS, Android, or a desktop operating system.

You may not rent, lease, lend, sell, redistribute, or sublicense the Licensed Application. You may not copy, modify, decompile, reverse-engineer, disassemble, or attempt to derive the source code of the Licensed Application, except to the extent that such restriction is prohibited by applicable law or expressly permitted by open-source licenses.

These license terms also apply to updates and upgrades provided by the Application Provider, unless separate terms are explicitly provided with such update or upgrade.

b. Consent to use of data

You agree that the Application Provider may collect and use technical data and related information, including (but not limited to) technical information about your Devices, operating system, application software, and peripherals. This is used solely to provide support, improve the Licensed Application, and as further described in our privacy policy.

If you use synchronization or backup functionality, you acknowledge that your full administration (including financial data and related documents) is uploaded to our servers in encrypted form in order to provide the service. The Application Provider processes this data in accordance with the privacy policy.

If you enable automatic uploading and downloading, this may result in additional data usage through your internet or mobile data plan. You are responsible for monitoring your data usage and any related costs charged by your provider.

c. Termination

This license remains effective until terminated by you or the Application Provider. Your rights under this license will terminate automatically and immediately without notice if you fail to comply with any provision of this EULA.

Upon termination, you must cease all use of the Licensed Application and delete or destroy all copies of the Licensed Application, in whole or in part.

The Application Provider provides no guarantee regarding the price, functionality, or availability of the Licensed Application or (parts of) the services and reserves the right to change or discontinue them at any time, without refund of the (partial) purchase price, to the extent permitted by law. Prices for Spendle are generally reviewed and adjusted annually, but may also be adjusted in the interim.

d. Third-party services or materials

The Licensed Application may provide access to services, websites, or content of the Application Provider and/or third parties (collectively: “Third-party Services”). Use of Third-party Services requires internet access and may be subject to additional terms.

Third-party Services may display, include, or make available content, data, applications, or materials from third parties (“Third-party Materials”) or provide links to third-party websites. By using Third-party Services, you acknowledge that the Application Provider is not responsible for the content, accuracy, completeness, timeliness, legality, quality, or any other aspect of such Third-party Materials.

The Application Provider does not endorse or warrant Third-party Materials and assumes no liability for Third-party Services, Third-party Materials, or third-party websites. Your use of Third-party Services is entirely at your own risk.

Third-party Services and Third-party Materials may not be available in all languages or countries. If you choose to access them, you do so on your own initiative and are responsible for compliance with applicable laws. The Application Provider may modify, suspend, or terminate access to Third-party Services at any time without prior notice.

If Third-party Services (such as GoCardless) change their fees, functionality, or terms, or (partially or temporarily) suspend or terminate their service, the Application Provider may implement these changes or the loss of the service in Spendle immediately and back-to-back. The Application Provider is not responsible for such changes or cancellations and provides no guarantees regarding them.

e. No warranty

You expressly acknowledge that use of the Licensed Application is at your sole risk. To the maximum extent permitted by applicable law, the Licensed Application is provided “as is” and “as available”, with all faults and without warranty of any kind.

The Application Provider disclaims all express and implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and quiet enjoyment.

The Application Provider does not guarantee uninterrupted or error-free availability of the Licensed Application. The Licensed Application may be temporarily unavailable due to maintenance, updates, outages, or circumstances beyond our control.

f. Limitation of liability

To the extent not prohibited by law, the Application Provider shall in no event be liable for any direct or indirect damages, consequential damages, special damages, incidental damages, or punitive damages, including (but not limited to) loss of profit, loss of data, business interruption, or any other commercial damages or losses arising out of or related to your use of the Licensed Application.

To the extent permitted by law, the total liability of the Application Provider to you shall in no event exceed twenty euros (€ 20.00).

Nothing in this EULA limits or excludes liability where such limitation or exclusion is not permitted under mandatory law.

g. Governing law

This EULA is governed by the laws of the Netherlands, unless mandatory consumer law in your country provides otherwise. Any disputes shall be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.

i. Changes to this EULA

The Application Provider may amend this EULA from time to time. In case of material changes, you will be informed via the website. By continuing to use the Licensed Application after a change, you agree to the amended terms.

j. Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced by a valid provision that most closely reflects the intent of the original provision.

k. Assignment

You may not assign or transfer your rights or obligations under this EULA to any third party without the prior written consent of the Application Provider. The Application Provider may assign this EULA and its rights and obligations, for example in connection with a merger or acquisition.
